Sound Orbit — Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Sound Orbit, LLC ("Sound Orbit," "we," "us," or "our"), a Missouri limited liability company. They govern your use of the Sound Orbit mobile application (the "App") and the website soundorbitapp.com (the "Site"), together the "Service."

By downloading, installing, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Sound Orbit is a wellness application that provides binaural beat audio, ambient sound layers, a sound mixer, a meditative word game ("Inner Orbit"), an AI assistant ("Orbit AI"), a community feature for sharing user-created mixes, and an optional First Responder verification program granting qualifying users access to discounted Premium subscription pricing.

Sound Orbit is a wellness tool. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or condition. See Section 13.

3. Eligibility

You must be at least 13 years old to use the Service. Users between 13 and the age of majority in their jurisdiction must have parental or guardian consent. By using the Service, you represent that you meet these eligibility requirements and that you have the legal capacity to enter into these Terms.

The Service is not directed to children under 13, and we do not knowingly permit them to use it.

4. Account Creation & Security

To access most features, you must create an account using a valid email address and a password, or sign in using an approved third-party authentication provider. You agree to:

- Provide accurate and current information.

- Keep your credentials confidential.

- Notify us promptly at support@soundorbitapp.com of any unauthorized access.

- Be responsible for all activity under your account.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Subscription Terms

5.1 Subscription Tiers

Sound Orbit offers the following auto-renewing subscription tiers (prices in U.S. dollars, subject to change):

- Premium Monthly — $4.99/month

- Premium Annual — $44.99/year

- Family Monthly — $9.99/month (up to 6 members via Apple Family Sharing; Orbit AI questions are tracked via a single shared monthly cap across all family members)

- Family Annual — $79.99/year (up to 6 members via Apple Family Sharing; Orbit AI questions are tracked via a single shared monthly cap across all family members)

- First Responder Monthly — $1.99/month (verified first responders only; see Section 7)

- First Responder Annual — $19.99/year (verified first responders only; see Section 7)

5.2 Free Trial

Premium and Family subscription tiers include a 14-day free trial for new subscribers. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the applicable rate. Trial eligibility is determined by Apple and is generally offered once per Apple ID. First Responder subscriptions do not include the 14-day free trial; verified first responders go directly to discounted pricing.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current rate unless canceled at least 24 hours before renewal. Payment is charged to your Apple ID on confirmation of purchase and upon each renewal.

5.4 Cancellation

You can cancel at any time through Settings → [your name] → Subscriptions on your iOS device. Cancellation takes effect at the end of the current billing period. You will retain Premium access through that period.

5.5 Refunds

All subscription purchases are processed by Apple and are subject to Apple's refund policies. Sound Orbit does not directly process refunds. Refund requests must be submitted to Apple at reportaproblem.apple.com.

5.6 Price Changes

We may change subscription prices from time to time. Price changes will not take effect until your next renewal, and we will notify you in advance as required by Apple and applicable law. Continued use after a price change takes effect constitutes acceptance of the new price.

5.7 Free Tier Limitations

Users without an active paid subscription ("free-tier users") may use the Service subject to the following limitations:

- Mix descriptions must be entered manually; AI-suggested descriptions are not available.

- Orbit AI is not available; question caps for paid tiers are described in Section 5.1's referenced features and are not extended to free-tier users.

- Preset library access is limited; certain brainwave bands and ambient sound categories are reserved for paid tiers.

- AI artwork generation requires a paid subscription. Free-tier users may purchase tokens (see Section 6) but cannot spend them on artwork until they subscribe.

- Mix editing, the Dream Journal, and the In Orbit community sharing features are reserved for paid tiers.

6. In-App Purchases (Tokens)

Sound Orbit sells consumable in-app tokens used to generate AI artwork for user-created mixes:

- 5 tokens — $0.99

- 10 tokens — $1.99

- 15 tokens — $2.99

- 30 tokens — $4.99

Tokens are non-refundable consumable items. Once purchased, tokens are credited to your account and are consumed when you generate artwork. Tokens have no cash value, cannot be transferred between accounts, and expire only if your account is terminated or deleted.

Your token balance is stored with your account and synced across your devices, so purchased and earned tokens remain available when you sign in on a new device or reinstall the App. Because consumable purchases are not restored automatically by Apple, this account-based balance is the means by which your purchased tokens are preserved; if you delete your account, your token balance is permanently removed and cannot be recovered.

AI artwork generation requires an active paid subscription (Premium, Family, or First Responder). Free-tier users may purchase tokens but cannot spend them on artwork generation until they subscribe.

If an artwork generation fails for technical reasons, the token is automatically refunded to your account.

7. First Responder Verification

7.1 Eligibility

The First Responder program is available to active or retired members of qualifying roles (law enforcement, fire service, EMS, dispatch, healthcare, and military) as further described in the App.

7.2 Terms of Verification

By initiating First Responder verification, you agree that:

- You meet the eligibility requirements for one of the qualifying role groups.

- The documents you submit are authentic, currently valid, and genuinely belong to you.

- You will not submit, attempt to submit, or assist another person in submitting fraudulent, altered, or non-qualifying documents.

- You understand your submitted documents will be analyzed in real time and discarded; only non-reversible hashes, your Identifier for Vendor (IDFV), and approval timestamps will be retained. See our Privacy Policy, Section 5.

- Verification grants you access to the discounted First Responder subscription pricing ($1.99/month or $19.99/year), not free Premium access.

- An active First Responder subscription is required to access Premium features at the discounted rate. Verification alone does not grant Premium access.

- Verification is valid for 365 days and must be renewed annually to remain eligible for First Responder pricing.

7.3 Accuracy Warranty

You warrant that all information submitted during verification is true and accurate. Submitting false or fraudulent information is a material breach of these Terms.

7.4 Consequences of Fraud

Verified status obtained through fraud may result in immediate revocation, account termination, loss of all content and purchases, permanent ban from the First Responder program, and potential legal action. We may share information about fraudulent verification attempts with relevant parties as permitted by law.

7.5 Discretion

We reserve the right, in our sole discretion, to deny, revoke, or require additional verification for any First Responder application.

7.6 Discounted Pricing Goal

Sound Orbit's stated goal is to offer Premium access to verified first responders free of charge as the program scales. Until that goal is reached, the discounted subscription pricing described in Section 5.1 applies. Sound Orbit makes no contractual guarantee or commitment to ever offer free Premium access; the discounted rate may continue indefinitely or change subject to Section 5.6 (Price Changes).

7.7 Subscription Continuity After Verification Lapse

If your First Responder verification lapses (because you did not re-verify before the annual deadline plus a 30-day grace period), you will no longer be eligible to start a new First Responder subscription at the discounted rate. However, an active First Responder subscription you already hold will continue to renew through Apple at the discounted rate until you cancel it. Apple does not have visibility into your verification status. To stop being charged the First Responder rate after verification lapses, cancel your subscription through Settings → [your name] → Subscriptions on your iOS device. Re-verifying restores your eligibility to start a new First Responder subscription if you have cancelled in the interim.

8. User-Generated Content

8.1 Definitions

For purposes of this Section 8:

- "Mix Configuration" means the user-selected combination of brainwave band, frequency value, sound layers, layer volume settings, mix name, and mix description that you assemble through the Mixer feature.

- "User-Generated Visual Content" means any AI-generated artwork associated with your Mix Configurations, generated through the Service via your text or selection inputs.

- "User Content" means your Mix Configurations, User-Generated Visual Content, Dream Journal entries, community posts, reports, and any other material you create, upload, or submit through the Service.

- "Sound Orbit Audio Assets" means the binaural beat synthesis engine, brainwave frequency outputs, ambient sound layers, Solfeggio frequencies, noise generators, instrumental recordings, nature recordings, AI-generated cymatic imagery, and all other audio and visual assets bundled in or generated by the Service. Sound Orbit Audio Assets are not User Content and remain the exclusive intellectual property of Sound Orbit, LLC and its licensors regardless of how they are arranged, configured, or combined by users.

8.2 Your Rights and Limitations

You retain ownership of your Mix Configurations and Dream Journal entries — meaning the specific creative selections you make, the names you assign, and the descriptions you author. You do not own, and these Terms do not grant you any ownership interest in, the Sound Orbit Audio Assets, the rendered audio output produced when a Mix Configuration is played, or any sound recording derived from the Service. Your rights in your Mix Configurations are limited to the personal use of those configurations within the Service in accordance with these Terms.

You agree that:

- You will not record, capture, redistribute, or commercially exploit audio output generated by the Service.

- You will not claim ownership of, or assert royalty or licensing rights against Sound Orbit, LLC for, any audio produced by the Service.

- You will not register, attempt to register, or assist any third party in registering any Mix Configuration, audio output, or derivative work as your own copyrightable sound recording, musical composition, or other intellectual property.

8.3 License to Sound Orbit

You retain ownership of your User Content as defined in Section 8.1. By submitting User Content, you grant Sound Orbit a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, modify (for formatting and operational purposes), distribute, promote, and create derivative works of your User Content in connection with operating, improving, and marketing the Service. This license survives termination of your account with respect to User Content you have shared publicly through the community feature.

For User Content you share publicly through the community feature, you additionally grant other users of the Service a perpetual, non-exclusive license to view, play, and interact with that content through the Service.

8.4 User-Generated Visual Content (AI Artwork)

AI-generated artwork is created through Sound Orbit's contracted use of third-party generative AI services (currently xAI Grok). Ownership of AI-generated outputs is governed by the terms of the underlying AI provider and applicable copyright law. Sound Orbit makes no warranty regarding the copyrightability, exclusivity, or commercial usability of AI-generated content. You acknowledge that:

- Multiple users may receive substantially similar AI-generated outputs from similar inputs.

- AI-generated content may not be eligible for copyright protection in all jurisdictions.

- Sound Orbit retains the right to use, display, and distribute AI-generated artwork associated with publicly-shared Mix Configurations as part of the Service.

AI-suggested mix descriptions, where available on paid subscription tiers, are produced through the same xAI Grok service and are subject to the same caveats described above (substantial similarity across users, copyright limitations). You may freely accept, edit, or replace any AI-suggested description before saving it to your mix.

8.5 Representations

You represent and warrant that:

- You own or have the rights necessary to submit your Mix Configurations, descriptions, names, Dream Journal entries, and any prompts you provide for AI artwork generation.

- Your User Content does not infringe the rights of any third party.

- Your User Content does not violate these Terms or any applicable law.

- You have not used, and will not use, any third-party copyrighted material in mix names, descriptions, artwork prompts, or other text inputs without authorization.

8.6 Removal

We may remove or disable access to any User Content at our discretion, without notice, for any reason — including violations of these Terms, reports from other users, or legal requirements.

9. Prohibited Conduct

You agree not to:

- Violate any applicable law or regulation.

- Infringe the intellectual property, privacy, or other rights of any person.

- Submit false, misleading, or fraudulent information (including First Responder documents).

- Upload content that is harassing, defamatory, threatening, obscene, sexually explicit, hateful, or incites violence.

- Upload content that promotes self-harm, suicide, or illegal drug use.

- Impersonate any person or misrepresent your affiliation with any entity.

- Reverse engineer, decompile, or disassemble the App except where expressly permitted by law.

- Circumvent, disable, or attempt to defeat any security, content-moderation, or verification features.

- Use automated systems (bots, scrapers, crawlers) to access the Service.

- Interfere with or disrupt the Service or servers or networks connected to the Service.

- Use the Service to send unsolicited commercial communications.

- Resell, rent, sublicense, or commercially exploit the Service without our written permission.

- Attempt to gain unauthorized access to other users' accounts or data.

10. Content Moderation

10.1 Community Moderation

Community-shared content is subject to user reporting. Content that receives three or more reports is automatically filtered from public browsing pending administrative review.

10.2 Administrative Review

An administrator may review reported content and take action including content removal, account warnings, suspension, or termination.

10.3 No Obligation

We are not obligated to monitor User Content and assume no responsibility for User Content submitted by users. We reserve the right, but have no obligation, to review and remove any User Content.

11. Intellectual Property

11.1 Our Content

The Service — including the App, Site, audio engine, binaural synthesis algorithms, presets, sound layers, instrumental recordings, nature recordings, AI-generated cymatic imagery, audio output rendered by the Service, interface, graphics, logos, trademarks, brand assets, and all software — is owned by Sound Orbit, LLC or its licensors and is protected by U.S. and international intellectual property laws. Nothing in these Terms transfers any ownership interest in the foregoing to you, including when those assets are arranged, played, or combined as part of a Mix Configuration you create.

11.2 Limited License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on Apple devices you own or control, solely for your personal, non-commercial use.

11.3 Feedback

If you submit suggestions, feedback, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

12. DMCA Copyright Policy

We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to support@soundorbitapp.com with the subject line "DMCA Notice" containing:

- Identification of the copyrighted work claimed to have been infringed.

- Identification of the infringing material and its location in the Service.

- Your contact information (name, address, phone, email).

- A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.

- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

- Your physical or electronic signature.

We will respond to valid notices in accordance with the Digital Millennium Copyright Act. Repeat infringers will have their accounts terminated.

13. Medical Disclaimer

Sound Orbit is a wellness tool and is not a medical device. The App, its audio content, Orbit AI, and all related materials are for informational, educational, and self-care purposes only. They are not intended to diagnose, treat, cure, mitigate, or prevent any medical, psychological, or psychiatric condition.

Do not use Sound Orbit as a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before making decisions about your health, particularly if you have a medical condition, are pregnant, have a history of seizures, or are taking medication.

Do not use Sound Orbit while driving, operating heavy machinery, or performing any activity that requires full attention or alertness.

14. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SOUND ORBIT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOUND ORBIT, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SOUND ORBIT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Sound Orbit, LLC and its owners, officers, employees, and agents from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any false information you provided during First Responder verification.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason — including violation of these Terms. You may terminate your account at any time by deleting it from within the App or by emailing support@soundorbitapp.com.

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 8, 11, 13, 14, 15, 16, 18, and 19) will survive.

18. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-laws principles. Subject to Section 19, any dispute arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Jefferson County, Missouri, and you consent to the jurisdiction of those courts.

19. Dispute Resolution & Arbitration

19.1 Informal Resolution

Before filing a claim, you agree to first contact us at support@soundorbitapp.com to attempt to resolve the dispute informally. We'll try to resolve it within 60 days of receiving your notice.

19.2 Binding Arbitration

If the dispute is not resolved informally, you and Sound Orbit agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Missouri or another mutually agreed location, or by videoconference.

19.3 Class Action Waiver

You and Sound Orbit agree to bring claims against each other only in an individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative action.

19.4 Exceptions

Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

19.5 Opt-Out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to support@soundorbitapp.com with the subject line "Arbitration Opt-Out." Your notice must include your name, email, and a clear statement that you wish to opt out.

20. Apple App Store Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

- These Terms are between you and Sound Orbit, LLC, not Apple. Apple is not responsible for the App or its content.

- Apple has no obligation to provide maintenance or support for the App.

- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any). Apple has no other warranty obligation whatsoever.

- Apple is not responsible for addressing any claims by you or any third party relating to the App.

- Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.

21. Changes to Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date and, for material changes, notify you via in-app notification or email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, stop using the Service.

22. Miscellaneous

- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Sound Orbit regarding the Service.

- Severability: If any provision is held unenforceable, the remaining provisions remain in full effect.

- No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.

- Assignment: You may not assign these Terms. We may assign them to any successor or affiliate.

- No Agency: No agency, partnership, or employment relationship is created by these Terms.
